1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and Seven Bravo Labs LLC (“we,” “us,” “our,” or “MakerPass”). By creating an account, accessing, or using MakerPass at https://makerpass.io, you agree to be bound by these Terms. If you do not agree, do not use the Service.

We may update these Terms from time to time. If we make material changes, we will notify you by posting the revised Terms on our website and updating the Effective Date above. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.


2. Eligibility

You must be at least 18 years of age to use MakerPass. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.


3. Description of Service

MakerPass is a subscription status management and license verification tool for digital creators. The Service enables:

  • Creators to connect third-party platform accounts or manage subscriptions manually through authorization codes, track which subscribers hold active subscriptions, receive lapse alerts, and generate public verification pages and subscriber listings.
  • Subscribers to verify their subscription status with a Creator by authenticating through a supported verification flow (such as a connected platform login or Creator-provided authorization code), and to appear on a Creator’s public subscriber listing as an active subscriber.

MakerPass does not sell, license, or distribute any underlying content or intellectual property. The Service reflects subscription data provided by you and your connected platforms. Any labels, badges, status indicators, or verification pages displayed by the Service (such as “Active Subscriber” or “Verified”) refer solely to subscription status and do not represent, imply, or certify any intellectual property ownership, license validity, or legal authorization to sell, reproduce, or distribute any content.

3.1 Scope of Verification

MakerPass does not sell, license, or distribute any underlying content or intellectual property. The Service reflects subscription data provided by you and your connected platforms. Any labels, badges, status indicators, or verification pages displayed by the Service (such as “Active Subscriber” or “Verified”) refer solely to subscription status and do not represent, imply, or certify any intellectual property ownership, license validity, or legal authorization to sell, reproduce, or distribute any content.

3.2 Subscriptions and Access Tiers

For the purposes of these Terms, “Subscription” refers to any access status granted by a Creator, regardless of billing frequency. This includes:

  • (a) Recurring Subscriptions: Access maintained through periodic payments (e.g., monthly).
  • (b) One-Off or “Lifetime” Access: Access granted through a single payment or “buy-it-now” transaction.

Any reflection or display by MakerPass of a Creator-defined label - including terms such as “Commercial License,” “Lifetime License,” or similar legal descriptors - is solely a representation of a Tier Name associated with a Subscriber’s status in a third-party or Creator-managed database. Such display does not validate, create, or certify the existence of a legal license. MakerPass verifies only that the Subscriber holds the status associated with that Tier Name as represented in the source database at the time of viewing. MakerPass does not independently maintain or guarantee the persistence of such status.


4. Account Registration

To use MakerPass, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at contact@makerpass.io if you suspect unauthorized use of your account.

We reserve the right to suspend or terminate accounts that contain inaccurate information or that violate these Terms.


5. User Roles

5.1 Creators

Creators are users who use MakerPass to track, manage, and display the subscription status of their subscribers. Creators may connect third-party platform accounts to automatically sync subscriber data, or may manage subscriptions manually through authorization codes. Creators may enable public verification pages and public subscriber listings for their account. Enabling these features requires the Creator to opt in, after which individual Subscribers may opt in to participate.

5.2 Subscribers

Subscribers are users who authenticate their subscription status with a Creator through a supported verification flow (such as a connected platform login or authorization code). Subscribers may individually opt in to have a public verification page and to appear on a Creator’s public subscriber listing, provided the Creator has enabled these features for their account.

5.3 Public Verification Pages and Subscriber Listings

MakerPass provides public verification pages and a public subscriber listing feature. Both features require the Creator to enable the feature and the Subscriber to individually opt in.

Important: Public verification pages and subscriber listings display subscription status only - specifically, whether a Subscriber holds an active subscription with a given Creator at the time of viewing. A verification page or listing entry does not verify, certify, or represent that: (a) the Subscriber holds a valid license to sell, reproduce, or distribute any content or intellectual property; (b) the Creator owns or has the right to license the underlying content; (c) any transaction between a Creator and Subscriber is lawful or authorized; or (d) MakerPass or Seven Bravo Labs LLC endorses, sponsors, or has evaluated the legitimacy of any Creator’s offerings or any Subscriber’s use of them. Users and third parties who rely on verification pages or subscriber listings do so at their own risk.


6. Creator Representations and Indemnification

6.1 Authority to License

By connecting a third-party platform account or generating access codes through the Service, you represent and warrant that you own all necessary intellectual property rights, or have obtained all necessary third-party licenses and permissions, to authorize the commercial sale of the content associated with your subscription levels or offerings. You acknowledge that MakerPass has no duty to verify your ownership of any content. You further represent that you will promptly update or remove content from the Service if your rights to license such content change or are revoked.

6.2 Acknowledgement

You acknowledge that MakerPass is a subscription status management tool. MakerPass does not inspect, evaluate, or validate your underlying intellectual property. Any verification status, badge, or page generated by the Service reflects subscription data you or your connected platforms provided, and does not constitute an endorsement, certification, or legal opinion by Seven Bravo Labs LLC regarding the legitimacy of any intellectual property or license.

6.3 Indemnification

You agree to indemnify, defend, and hold harmless Seven Bravo Labs LLC (and its officers, employees, and agents) from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with: (a) your lack of ownership or right to license the content associated with your account; (b) any claim by a third party that your content infringes their intellectual property rights; (c) your failure to revoke access for a subscriber who has ceased paying you; or (d) any reliance by a third party (including buyers, marketplaces, or subscribers) on a verification status displayed by the Service in connection with your account.

6.4 Right to Suspend

We reserve the right to suspend or terminate your account, disable verification pages, and revoke all associated access codes if we receive a credible claim that your content infringes third-party intellectual property rights, or if we determine in our sole discretion that your continued use of the Service poses legal or reputational risk to MakerPass.


7. General Indemnification

You agree to indemnify, defend, and hold harmless Seven Bravo Labs LLC (and its officers, employees, agents, and affiliates) from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any applicable law, regulation, or third-party right (including intellectual property, privacy, or publicity rights); (d) any content or data you provide to the Service; or (e) any dispute between you and any third party relating to your use of the Service.

This general indemnification obligation applies to all users (Creators and Subscribers) and is in addition to the Creator-specific indemnification obligations set forth in Section 6.3.


8. Intellectual Property Complaints and Takedown Policy

8.1 Reporting Infringement

Seven Bravo Labs LLC respects the intellectual property rights of others. If you believe that content or activity on MakerPass infringes your copyright, trademark, or other intellectual property rights, you may submit a written notice to us at contact@makerpass.io containing: (a) identification of the intellectual property right you claim has been infringed; (b) identification of the material or account on MakerPass that you claim is infringing; (c) your contact information (name, address, email, and phone number); (d) a statement that you have a good-faith belief that the use is not authorized by the rights owner, its agent, or the law; (e) a statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the rights owner; and (f) your physical or electronic signature.

8.2 Our Response

Upon receiving a valid complaint, we may, at our sole discretion: (a) disable or remove the verification page, subscriber listing entry, or other content identified in the notice; (b) suspend or terminate the account of the accused user; (c) notify the affected user of the complaint; or (d) take any other action we deem appropriate. We reserve the right to act or decline to act on any notice at our sole discretion.

8.3 Counter-Notice

If you believe your content or account was disabled or removed as a result of a mistake or misidentification, you may submit a written counter-notice to contact@makerpass.io containing: (a) identification of the material that was removed or disabled; (b) a statement under penalty of perjury that you have a good-faith belief the material was removed or disabled as a result of mistake or misidentification; (c) your name, address, and phone number; (d) a statement consenting to the jurisdiction of the federal courts in New York, New York; and (e) your physical or electronic signature.

8.4 Repeat Infringers

We reserve the right to terminate the accounts of users who are the subject of repeated intellectual property complaints.


9. Subscriptions and Payment

9.1 Pricing

MakerPass is offered on a monthly subscription basis. Current pricing is available at https://makerpass.io. We reserve the right to change our pricing at any time. If we change pricing, we will provide you with at least 30 days’ notice before the new price takes effect on your next billing cycle.

9.2 Billing and Auto-Renewal

By subscribing to MakerPass, you authorize us to charge your designated payment method on a recurring monthly basis. Your Service Plan will automatically renew at the end of each billing period unless you cancel before the renewal date.

9.3 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at contact@makerpass.io. Upon cancellation, you will retain access to the Service through the end of your current billing period. No further charges will be made after cancellation takes effect.

9.4 No Refunds

All fees are non-refundable. When you cancel, you will not receive a refund for any remaining time in your current billing period, but you will continue to have access to the Service until the end of that period.

9.5 Payment Processing

Payments are processed by third-party payment providers. Your use of these payment services is subject to their respective terms and privacy policies. We do not store your full credit card information on our servers.


10. Acceptable Use

You agree not to use MakerPass to:

  • Violate any applicable local, state, national, or international law or regulation.
  • Infringe upon the intellectual property rights of any third party.
  • Misrepresent your identity, subscription status, or affiliation with any person or entity.
  • Upload, transmit, or distribute any content that is unlawful, defamatory, obscene, or otherwise objectionable.
  • Attempt to gain unauthorized access to the Service, other user accounts, or any related systems or networks.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use the Service to engage in fraud, deception, or misleading practices.
  • Scrape, crawl, or use automated means to access the Service without our prior written consent.
  • Manipulate or falsify verification status, subscriber listings, or subscription data.

We reserve the right to investigate and take appropriate action against any user who violates this section, including suspension or termination of their account.


11. Intellectual Property

11.1 Our Intellectual Property

MakerPass, including its name, logo, website, software, design, and all associated content, is the property of Seven Bravo Labs LLC and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without our prior written consent.

11.2 Your Content

You retain ownership of any content you provide to MakerPass (such as profile information or connected platform data). By using the Service, you grant us a limited, non-exclusive, royalty-free license to use, display, and process your content solely as necessary to operate and provide the Service.


12. Third-Party Platforms and Integrations

MakerPass integrates with third-party platforms. Your use of these platforms is governed by their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party platform. If a third-party platform changes its API, terms, or availability, it may affect the functionality of MakerPass, and we shall not be liable for any such disruption.


13. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, SEVEN BRAVO LABS LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICE, INCLUDING VERIFICATION STATUS, SUBSCRIBER LISTINGS, OR SUBSCRIPTION DATA.


14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SEVEN BRAVO LABS LLC, ITS OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.


15. Account Termination

15.1 Termination by You

You may close your account at any time by contacting us at contact@makerpass.io or through your account settings.

15.2 Termination by Us

We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, for any reason, including but not limited to: violation of these Terms, suspected fraudulent activity, inactivity, or conduct that we determine poses a risk to MakerPass, its users, or third parties.

15.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. Any public verification pages, subscriber listings, and access codes associated with your account will be disabled. We are not obligated to retain or provide you with any data after termination, except as required by applicable law. Sections 6, 7, 8, 10, 11, 13, 14, 16, and 17 shall survive termination.


16. Dispute Resolution and Binding Arbitration

16.1 Informal Resolution

Before initiating any formal dispute proceedings, you agree to first contact us at contact@makerpass.io and attempt to resolve the dispute informally for at least thirty (30) days.

16.2 Binding Arbitration

If we cannot resolve the dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration shall take place in New York, New York, or at another mutually agreed location. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

16.3 Class Action Waiver

YOU AND SEVEN BRAVO LABS LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

16.4 Exceptions

Notwithstanding the foregoing, either party may bring an individual action in small claims court or seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property rights.


17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. To the extent that litigation is permitted under these Terms, you consent to the exclusive jurisdiction of the state and federal courts located in New York, New York.


18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Seven Bravo Labs LLC regarding the Service and supersede all prior agreements and understandings.

18.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

18.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
